These Terms of Service ("Terms") are a legally binding agreement between you ("Client," "you," or "your") and BeaconCloud ("BeaconCloud," "we," "us," or "our") governing your use of the BeaconCloud cloud video recording and storage service (the "Service").
By signing up for an account, using the Service, clicking "I agree," or checking the consent checkbox at signup, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
If you are signing up on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you and that entity.
If you do not agree to these Terms, you must not use or access the Service.
BeaconCloud is a managed cloud Network Video Recorder (NVR) service that allows you to connect your on-site security cameras to our cloud infrastructure for remote recording, storage, and live viewing.

The specific features, camera limits, resolution caps, and footage retention periods available to you depend on your chosen subscription plan (see Section 3). BeaconCloud reserves the right to update, modify, or discontinue features of the Service with reasonable advance notice.
BeaconCloud is a storage and remote access service only. We do not provide live security monitoring, alarm response, emergency dispatch, or any physical security services.
BeaconCloud is offered as a monthly subscription. Your subscription plan determines the number of cameras supported, maximum video resolution, and footage retention period.

Billing cycle: Subscriptions are billed monthly in advance. Your first payment is due when your account is activated. Subsequent payments are automatically charged on the same calendar date each month.
Auto-renewal: Your subscription automatically renews each month until you cancel. By subscribing, you authorize BeaconCloud to charge your payment method on a recurring monthly basis. You can cancel at any time as described in Section 11.
Payment methods: We accept major credit and debit cards, processed securely through our payment processor (Stripe). BeaconCloud does not store full card numbers on our servers.
Failed payments: If a payment fails, we will notify you by email and retry the charge. If payment is not resolved within 7 days of the failed charge, the Service may be suspended. If payment remains unresolved after 30 days, your account may be terminated and footage deleted in accordance with Section 11.
Taxes: Subscription prices do not include applicable sales or use taxes. You are responsible for paying any taxes applicable to your subscription in your jurisdiction.
Price changes: We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price increase by email. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price. If you do not agree to a price change, you may cancel before it takes effect.
Trial period: If you were offered a 14-day trial period, and you cancel within that window, you are entitled to a full refund. All payments made after the trial period ends are non-refundable except as described in this section.
Billing disputes: If you believe you have been charged in error, contact us at info@beaconcloud.io within 30 days of the charge and we will investigate. We will not accept billing disputes raised more than 30 days after a charge.

You must use a strong, unique password for your BeaconCloud account and must not share your credentials with individuals who are not authorized users of your account. You should log out of your account when accessing it from a shared or public device.
BeaconCloud is not liable for any loss or damage arising from your failure to maintain account security or from unauthorized access resulting from your actions or omissions.
You agree to use BeaconCloud only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations, including all laws governing video surveillance, privacy, and recording in your jurisdiction.

BeaconCloud reserves the right to suspend or terminate your account immediately, without prior notice, if we determine in our reasonable judgment that you are using the Service in violation of these Terms or applicable law. We will notify you of the reason for termination as soon as practicable.
BeaconCloud connects to your existing on-site security cameras and network video recorder (NVR) equipment over your internet connection. We are not responsible for, and make no warranties regarding, any third-party hardware, software, or connectivity services that you use in connection with BeaconCloud, including:
Performance of the Service depends on the quality, configuration, and reliability of your equipment and internet connection. BeaconCloud is not liable for degraded service quality, recording gaps, or footage loss caused by issues originating from your equipment, your network, or your ISP.
You are responsible for ensuring your cameras and NVR are properly configured to stream to BeaconCloud and for maintaining that equipment in good working order. Our setup team will assist with initial configuration, but ongoing maintenance of your on-site hardware is your responsibility.
BeaconCloud's IP: The BeaconCloud service, including its software, dashboard, interfaces, designs, logos, trademarks, and underlying technology, is owned by BeaconCloud and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any BeaconCloud intellectual property to you.
License to use the Service: Subject to your compliance with these Terms and payment of applicable fees, BeaconCloud grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business security purposes during the term of your subscription. This license does not permit you to copy, modify, distribute, sell, or create derivative works from any part of the Service.
Your footage: You retain full ownership of all video recordings and footage captured by your cameras and stored through the Service. See Section 8 for details.
Feedback: If you voluntarily provide BeaconCloud with suggestions, ideas, or feedback about the Service, you grant us an unrestricted, royalty-free right to use that feedback in any way, including to improve the Service. We have no obligation to compensate you for feedback.
You own your footage. All video recordings stored through BeaconCloud remain your property. BeaconCloud claims no ownership or intellectual property rights over your camera recordings.
By using the Service, you grant BeaconCloud a limited, non-exclusive, non-transferable license to store, transmit, process, and display your footage solely as necessary to provide the Service to you. We do not use your footage for any other purpose, including training AI models, advertising, or resale.
You are solely responsible for ensuring that your use of the Service — including the recording and storage of footage — complies with all applicable laws, including laws governing employee privacy, customer recording, and data protection. BeaconCloud is not responsible for the legality of recordings made using our Service.

BeaconCloud targets 99.9% monthly uptime for the recording and storage service. We monitor our systems continuously and work to resolve issues as quickly as possible.
Scheduled maintenance will be communicated via email in advance whenever possible. Emergency maintenance required to protect the integrity or security of the Service may occur without advance notice.
The Service may be temporarily unavailable due to:
Important: BeaconCloud is a cloud supplement to your on-site recording setup — not a replacement for it. If your internet connection goes down or BeaconCloud is temporarily unavailable, your on-site NVR (if you have one) will continue recording locally. We strongly recommend maintaining a working on-site recorder as a backup. Do not rely solely on BeaconCloud for footage that may be needed for legal, insurance, or evidentiary purposes.
BeaconCloud is not liable for footage lost due to internet outages at your location, camera hardware failures, or events beyond our reasonable control.
Each subscription plan is sized for a specific number of cameras operating at typical recording activity levels. If your cameras generate significantly above-average footage volume — due to factors such as a very high-traffic location, continuous high-bitrate streams, or motion sensitivity set to maximum — your storage usage may substantially exceed the typical range for your plan tier.

If you are uncertain whether your camera setup falls within standard usage expectations for your plan, contact us before signing up. We are happy to assess your situation and recommend the right plan.
Cancellation by you: You may cancel your subscription at any time by contacting us at info@beaconcloud.io. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until that date.
Refunds: We do not provide partial-month refunds after a billing period has started, except during an applicable trial period. If you believe you were charged in error, contact us within 30 days of the charge and we will investigate. Chargebacks initiated without first contacting us may result in account suspension.
Data after cancellation: Following cancellation or termination, your footage and personal account data will be retained for 14 days to give you time to download any recordings you need. After 14 days, all footage and personal data will be permanently and irreversibly deleted. Billing records may be retained for up to 7 years for legal and accounting compliance. We recommend downloading any important footage before your account closes.
Termination by BeaconCloud: We reserve the right to suspend or terminate your account for the following reasons:
In the event of termination for cause (e.g., Terms violation or illegal activity), we reserve the right to terminate immediately without a refund for the remaining billing period.
THE BEACONCLOUD SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEACONCLOUD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BEACONCLOUD DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE; (B) ANY SPECIFIC FOOTAGE WILL BE CAPTURED, STORED, OR RETAINED; (C) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED WITHIN ANY PARTICULAR TIMEFRAME.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM BEACONCLOUD OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.
To the maximum extent permitted by applicable law, BeaconCloud and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of or inability to use the Service, including but not limited to:
Aggregate liability cap: In all cases, BeaconCloud's total cumulative liability to you for any and all claims arising from or related to these Terms or the Service shall not exceed the total subscription fees you paid to BeaconCloud in the three (3) months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if BeaconCloud has been advised of the possibility of such damages.
Some jurisdictions do not allow the limitation or exclusion of certain types of damages. In such jurisdictions, these limitations apply to the fullest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless BeaconCloud and its owners, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
BeaconCloud reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with our defense at your own expense.
BeaconCloud shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to:
In the event of a force majeure event, we will notify you as soon as practicable, make reasonable efforts to resume service, and keep you informed of the expected duration of the disruption. Force majeure events do not excuse your payment obligations for services already rendered.
These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.
Informal resolution first: Before initiating any formal dispute process, you agree to contact us at info@beaconcloud.io and give us 30 days to attempt to resolve the issue informally. Most disputes can be resolved quickly this way.
Binding arbitration: If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Columbus, Ohio, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction without first going through arbitration. Claims for unpaid subscription fees may be pursued by BeaconCloud in small claims court in Columbus, Ohio.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action against BeaconCloud.
You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them without BeaconCloud's prior written consent. Any attempted assignment without such consent is void.
BeaconCloud may assign or transfer these Terms and its rights and obligations hereunder — including in connection with a merger, acquisition, sale of assets, or by operation of law — without your consent, provided that we notify you of any such assignment. If the assignment results in a material change to the Service, you may cancel your subscription within 30 days of the notice without penalty.
These Terms are binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeaconCloud with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the Service. No statements made by BeaconCloud representatives outside of these Terms (including in sales conversations or marketing materials) create binding obligations unless confirmed in a separate written agreement signed by both parties.
Severability: If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions of these Terms will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely achieves the intent of the original.
Waiver: BeaconCloud's failure to enforce any right or provision of these Terms on one occasion does not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by BeaconCloud.
Notices: We will provide notices to you by email at the address associated with your account or by posting a notice on our website. Notices are effective when sent. You are responsible for keeping your email address current and for checking it regularly. Notices to BeaconCloud must be sent to info@beaconcloud.io.
No agency: Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, or agency relationship between you and BeaconCloud. You have no authority to bind BeaconCloud to any obligations.
Headings: Section headings in these Terms are for convenience only and have no legal effect.
We may update these Terms from time to time to reflect changes in our service, business practices, or applicable law. When we do, we will update the "Last updated" date at the top of this page.
For material changes — particularly changes that affect your rights, obligations, or payment terms — we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you may cancel your subscription before the effective date without penalty for the remaining billing period.
